In the same way shareholders benefit by owning stocks in other corporations, the stockholders of a REIT earn a share of the income produced through real estate investment, without actually having to go out and buy or finance property. This video provides some insight into what REITs are and how they work. The REIT industry has a diverse profile, which offers many benefits. REITs often are classified in one of two categories: Equity REITs or Mortgage REITs. Equity REITs own a wide range of property types including offices, shopping centers, hotels, apartments and much more. Equity REITs derive most of their revenue from rent on those properties. Mortgage REITs may finance both residential and commercial properties. Mortgage REITs get most of their revenue from interest earned on their investments in mortgages or mortgage backed securities. In addition, REITs may be publicly registered with the SEC and have their shares listed and traded on major stock exchanges, or they may be publicly registered with the SEC but not have their shares listed or traded on major stock exchanges, or they may be private companies (not registered with the SEC and not having their shares listed or traded on a stock exchange. Regardless of the type, REITs operate under a specific set of rules established by Congress. A REIT is an entity that: • is modeled after mutual funds • is treated by the Internal Revenue Code as a corporation • must be widely held by shareholders • must primarily own or finance real estate, and • must own its real estate with a longterm investment horizon. The IRS implements the REIT rules and oversees what qualifies as a REIT. The Internal Revenue Code requires a REIT to adhere to the following essential rules: at least 75 percent of the corporation's income must be earned from real estate as rent, real estate interest or from the sales of real estate assets; at least 75 percent of the corporation's assets must be real estate assets; and, at least 95 percent of income must be passive. REITs are required to distribute at least 90 percent of taxable income annually to shareholders as taxable dividends. In other words, a REIT cannot retain its earnings. Like a mutual fund, a REIT receives a dividends-paid deduction so no tax is paid at the entity level if 100 percent of income is distributed. REIT shareholders pay taxes on dividends at ordinary rates versus the lower qualified rate. Over time, REITs and the rules and regulations that govern them have evolved to meet the changing needs of the real estate industry and the broader economy. But throughout that process, REITs have remained true to the mission laid out by Congress in 1960: to make the benefits of income-producing real estate accessible to anyone and everyone. (NYSE: SPG) and Vornado Realty Trust (NYSE: VNO) to spin off segments of their portfolios. “They have been leaders in the industry for a long time, and, hopefully, others will follow. It also creates more opportunities for mergers and acquisitions, which would be another driver of multiple growth,” Werner said. Meanwhile, Werner responded to the naming of Houston, Chilton’s home base, as the most attractive real estate investment and development opportunity of any major U.S. market, according to a survey from PwC and the Urban Land Institute (ULI). 7/1/2010- Citigroup analysts upgraded Weingarten Realty Investors (NYSE:WRI) to buy from hold, with a $24 price target. Analyst Quentin Velleley said, "We increasingly like WRI for its attractive relative valuation, well positioned balance sheet, gradually improving portfolio conditions, and improving perception of management with the Street. Trading on an 8% implied cap rate and 13.8x '11 AFFO, shares are attractive post the 20% sell-off since mid April. Additionally, WRI has a well covered (78% AFFO payout) dividend yield of 5.3% versus the REIT sector's 4%. We upgrade to a slightly contrarian Buy rating with an unchanged $24 target. UBS issued a note to clients downgrading shares of HCP Inc (NYSE:HCP) to Sell from Neutral saying they see the company's current valuation as unsustainable. UBS analyst Ross T. Nussbaum said, "While we see a solid fundamental outlook ahead for HCP across its various business lines with modest mid-single digit FFO and dividend growth supported by a healthy balance sheet, we believe the current valuation has moved ahead of the growth prospects for the company and is unsustainable. The stock currently trades at a 46% premium to NAV (vs. ~30% historically and 11% for REITs), a 15% premium to DCF (vs. 3% for REITs overall). The stock is also at 18.4x '11E AFFO, representing a peak valuation on earnings that never really declined." Nussbaum went onto say, "Admittedly, we do not see a near-term fundamental risk to HCP, but we do see four significant challenges that make the current valuation difficult to justify: 1) We can effectively "replicate" HCP through a portfolio of other REITs (ARE, HR, MPW, OHI, VTR) at a cheaper valuation (6.7% implied cap rate and 16.8x '11E AFFO vs. 5.8% and 18.4x for HCP) , 2) The '10E AFFO dividend payout is 102%, 3) Size is not HCP's friend, and 4) Rising interest rates down the road."

http://www.reit.com Dividends have always been a core component of the REIT investment proposition. While REIT yields are down a bit in 2011, Keven Lindemann, managing director with SNL Financial, said there are a number of positive trends for investors to watch. Speaking with REIT.com during REITWorld 2011: NAREIT's Annual Convention for All Things REIT in Dallas last week, Lindemann said 47 REITs have increased their dividend this year. "From an investment perspective that certainly is a real positive. Payout ratios are also at very reasonable levels," he said. "When you look at what we are expecting in terms of adjusted funds from operations (AFFO) growth rates, I think there are going to be plenty of companies that will have the opportunity to increase their dividends in 2012." At REITWorld, the REIT industry commemorated the 20th anniversary of the start of the Modern REIT Era. Lindemann said the REIT industry has been fortunate to have such strong leadership. "REIT leaders have been good stewards of capital. REITs have been models of transparency and corporate governance," he said. "All of that has been a very healthy thing for the real estate industry generally." Lindemann said issues like sustainability are becoming more important issues and will be another trend that REITs take a lead role in going forward. Reflecting on this year's REITWorld event, Lindemann said most attendees have a watchful eye on broader economic issues. "We are still trying to figure out when we are going to see significant job growth," Lindemann said. "Macroeconomic issues definitely seem to be more of the topic of conversation than property-level issues. Everybody is waiting for the economy to start growing again.
